Fleet Customers Disclosure

This Universal Non-Compete and Payment Disclosure ("Disclosure") is issued by Mechlance Inc., doing business as MobileMechanic.com (the "Company"), to all Fleet Companies, effective immediately upon the engagement or hiring of any freelance mobile mechanic sourced through the MobileMechanic.com platform. By hiring or utilizing any freelance mobile mechanics introduced through the MobileMechanic.com website or platform, Fleet Companies (the "Fleet Company" or "Customer") automatically agree to the terms and conditions set forth in this Disclosure.

1. Purpose

Mechlance Inc. operates a nationwide marketplace connecting Fleet Companies with freelance mobile mechanics for vehicle maintenance, repair, and diagnostic services. The purpose of this Disclosure is to safeguard the Company’s financial interests and ensure compliance with the Company's payment policies. It also serves to prevent unauthorized side deals between Fleet Companies and freelance mobile mechanics that would bypass the Company’s payment and service structure.

2. Direct Payments Prohibited

By engaging any freelance mobile mechanic sourced from MobileMechanic.com, Fleet Company agrees that all payments for labor and services must be processed through Mechlance Inc. or its designated payment channels. Fleet Company is prohibited from directly paying any freelance mobile mechanic for their labor through any means outside of the Company’s approved processes. These prohibited payment methods include, but are not limited to:

  • Cash payments
  • Payments via Cash App, Venmo, or PayPal
  • Direct bank transfers or checks
  • Any other form of direct or third-party payment not explicitly authorized by the Company

All payments for services must first be made to Mechlance Inc., which will then compensate the freelance mobile mechanic. This ensures that the Company retains control over service quality, billing transparency, and compliance with its business model.

3. Compensation for Unauthorized Payments

In the event that Fleet Company violates the terms of this Disclosure by engaging in direct payments to freelance mobile mechanics, the Fleet Company will be held financially liable for any revenue that Mechlance Inc. would have received had the proper payment process been followed. In such cases, Fleet Company agrees to pay:

  • The full amount that would have been owed to Mechlance Inc. for the services, including all applicable service fees, surcharges, and other related costs.
  • An additional 50% of the lost funds as liquidated damages, to cover the Company’s legal fees, administrative expenses, and damages resulting from the breach.

This compensation will apply for each occurrence of an unauthorized side deal or direct payment to any freelance mobile mechanic sourced through the Company’s platform.

4. Legal and Administrative Fees

In addition to the amounts described above, Fleet Company agrees to reimburse Mechlance Inc. for any legal and administrative fees incurred in enforcing the terms of this Disclosure. These costs will include attorney fees, collection efforts, and any other legal proceedings required to recover funds and enforce the Company’s rights. The legal fees will be marked up by 50% of the total lost funds to compensate for the complexity of handling breaches and violations.

5. Non-Compete Period

By utilizing the services of freelance mobile mechanics through MobileMechanic.com, Fleet Company agrees not to enter into any independent agreements or contracts with any freelance mobile mechanic introduced through the platform for a period of five (5) years from the date of the last engagement with Mechlance Inc. or its freelance mobile mechanics. This non-compete obligation covers all mechanics who have been introduced to or worked with Fleet Company via the Company’s platform.

During this five-year period, Fleet Company is prohibited from hiring, contracting, or compensating these mechanics outside of the payment and service channels provided by Mechlance Inc. This restriction applies nationwide and is designed to protect Mechlance Inc.'s legitimate business interests, including its relationships with freelance mobile mechanics, its investment in recruiting and screening qualified professionals, and its service model.

6. Termination of Services for Breach

If Mechlance Inc. discovers that Fleet Company has breached the terms of this Disclosure, including engaging in direct payments or unauthorized side deals with freelance mobile mechanics, the Company reserves the right to:

  • Immediately terminate all services and agreements with Fleet Company.
  • Pursue legal action to recover any unpaid funds, legal costs, and damages.
  • Seek injunctive relief to prevent Fleet Company from continuing to engage in any unauthorized business dealings with freelance mobile mechanics sourced through the MobileMechanic.com platform.

7. Acknowledgement of Terms and Automatic Execution

This Disclosure automatically binds any Fleet Company that hires or utilizes a freelance mobile mechanic sourced from MobileMechanic.com. By engaging with freelance mobile mechanics through the Company’s platform, Fleet Company acknowledges and agrees to the terms outlined herein, and no additional signatures or agreements are required. This Disclosure serves as the governing document for all transactions and relationships between Fleet Company and Mechlance Inc. with regard to freelance mobile mechanics.

Continued use of the MobileMechanic.com platform, or continued engagement of freelance mobile mechanics through the platform, constitutes Fleet Company's acceptance of these terms.

8. Governing Law

This Disclosure shall be governed by, and construed in accordance with, the laws of the state in which Mechlance Inc. is headquartered. Any disputes arising under or related to this Disclosure shall be resolved in the appropriate court within that jurisdiction.

9. Severability

If any provision of this Disclosure is found to be invalid or unenforceable, the remainder of the Disclosure shall continue in full force and effect, and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it valid and enforceable.

10. Entire Disclosure

This Disclosure constitutes the entire understanding between Fleet Company and Mechlance Inc. with respect to payments and relationships involving freelance mobile mechanics. It supersedes all prior agreements, discussions, and understandings regarding these matters. No modification or waiver of any provision of this Disclosure shall be effective unless in writing and signed by both parties.

By hiring or utilizing freelance mobile mechanics through the MobileMechanic.com platform, Fleet Company expressly agrees to the terms of this Disclosure. The terms are legally binding and will remain in effect for five (5) years from the date of the last engagement.


This Disclosure is effective immediately and remains valid as long as Fleet Company continues to use the services of freelance mobile mechanics through MobileMechanic.com.
